Welcome to Orbis AppSec, a cybersecurity software developed and offered by OrbisAI Security (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and OrbisAI Security regarding your access to and use of the Orbis AppSec software, its related services, features, and content (collectively, the “Service”).
By accessing, installing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you are prohibited from using the Service. This agreement applies to all users of the Service, including individuals and entities.
By using the Orbis AppSec Service, you represent and warrant that you are of legal age and have the full authority to enter into this legally binding agreement. If you are an individual using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such a case, “you” and “your” will refer to both you and that entity.
Orbis AppSec is a proprietary cybersecurity software that uses advanced algorithms to analyze source code for potential vulnerabilities and security weaknesses. The Service generates detailed reports and proposes potential remediation steps, patches, or best-practice solutions. You acknowledge that the Service is a diagnostic and advisory tool, not a guarantee of security. The results are based on the state of the code at the time of analysis and the known vulnerabilities in our database. It is not a substitute for comprehensive security audits or expert human intervention.
Subject to your strict compliance with these Terms, OrbisAI Security grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Orbis AppSec software and its features solely for your internal business purposes of improving the security of your own code. This license is granted for the duration of your subscription or use of the Service.
You agree not to, and shall not permit any third party to:
You retain all ownership rights to the source code and any data you submit to Orbis AppSec for analysis (“Submitted Code”). You grant OrbisAI Security a limited, non-exclusive, worldwide, royalty-free license to use, process, and analyze the Submitted Code solely for the purpose of providing the Orbis AppSec Service to you. This license terminates automatically upon deletion of your data or termination of your account, subject to our data retention policy as outlined in our Privacy Policy. We will not use your Submitted Code for any purpose other than providing the Service to you and improving our vulnerability detection algorithms. We will not share or sell your Submitted Code to any third party.
All intellectual property rights in and to the Orbis AppSec software, including its code, design, algorithms, reports, trademarks, and all associated intellectual property, are and shall remain the exclusive property of OrbisAI Security. These Terms do not grant you any ownership rights in the Service. Any feedback, suggestions, or ideas you provide regarding the Service may be used by OrbisAI Security without any obligation to you.
THE ORBIS APPSEC SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ORBISAI SECURITY, TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ACKNOWLEDGE THAT WHILE ORBIS APPSEC IS DESIGNED TO IDENTIFY VULNERABILITIES, IT MAY NOT DETECT ALL POSSIBLE SECURITY FLAWS, AND THE PROPOSED PATCHES OR SOLUTIONS MAY NOT BE PERFECT OR SUITABLE FOR ALL SITUATIONS. THE ULTIMATE RESPONSIBILITY FOR THE SECURITY OF YOUR CODE AND SYSTEMS RESTS SOLELY WITH YOU.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORBISAI SECURITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ORBISAI SECURITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ORBISAI SECURITY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).
You agree to indemnify, defend, and hold harmless OrbisAI Security, its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to your violation of these Terms, your use of the Service, your Submitted Code, or your infringement of any intellectual property or other right of any person or entity.
These Terms shall be governed by and construed in accordance with the laws of India. Any legal action or proceeding arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India. You hereby consent to the personal jurisdiction and venue of these courts.
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms. Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service or contact us to initiate account deletion.
OrbisAI Security reserves the right to modify or replace these Terms at any time, at our sole discretion. We will provide notice of material changes, such as by posting a notice on our website or sending an email to the address associated with your account. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the original intent of the parties.
The failure of OrbisAI Security to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of OrbisAI Security.
